Bases y Condiciones del Concurso.
Latin America Insurance Fund, with registered offices at 170 Alicia Moreau de Justo Ave., Buenos Aires, Republic of Argentine (hereinafter “LAIF”) and InsurTech Connect, organizer of ITConnect Conference, the world largest InsurTech event, (hereinafter, “ITC”), shall carry out the “ITC + DIA World Tour LATAM Challenge” (hereinafter, the “Competition”) that shall be governed by these Terms and Conditions (hereinafter, the “Terms and Conditions”).
The ITC + DIA World Tour LATAM Challenge has been created as a part of a wider agenda in order to promote Insurtech Startups in Latin America. The purpose of this Competition is to support and encourage projects included within the framework of technology-based innovative services that benefit the insurance ecosystem (hereinafter, the “Projects” and any of them individually considered as a “Project”). The finalists of the Competition, as set forth hereinafter, shall be granted the possibility to present their Project in the ITC + DIA World Tour Latin America Stop, which will be held virtually and the winner will have the possibility to present his project in the ITC Global Event.
Candidates willing to participate in the Competition shall apply and register their Projects within the timeframe running from August 12th, 2020, at 8:00 pm to September 2nd, 2020, at 8:00 pm (Argentina mainland time) (the “Registration Period”). Furthermore, the Competition shall consist of four different stages, as explained below, and shall last until its Fourth Stage, as defined below, finishes (hereinafter, the “Period of the Competition”).
These Terms and Conditions shall be applicable to all Participants, as defined below, provided that they have been incorporated or currently hold their principal offices/activities in any of LATAM. The admission of Participants belonging to any of the previously-mentioned region shall be subject to revision in case any such country shall be subject to any sanction by the United States of America and/or Argentina.
Registration in the Competition.
In order to participate in the Competition, interested candidates (hereinafter, the “Participants” and any of them individually considered as a “Participant”) shall register at the Website through the provision of the following information (hereinafter, the “Registration Process”):
– Email address, which shall serve the purpose of allowing the Participant the reception of various notifications from LAIF regarding the Competition (hereinafter, the “Registered Email”).
Participation Additional Requirements.
In addition to the information provided during the Registration Process, Participants shall further comply with the Additional Requirements as established in these Terms and Conditions, in accordance with the following (hereinafter, the “Additional Requirements”):
(i) Participants shall have been correctly incorporated or currently hold their principal offices/activities in their respective countries, pursuant to Terms and Conditions, and shall have complied with the corresponding applicable laws during said process.
(ii) LAIF reserves the right to request further necessary documentation from the Participants in order for them to prove compliance with the Additional Requirements.
(iii) Participants shall only be allowed to submit one Project, providing that said Project is comprised of products and services based on Insurtech and/or related areas.
LAIF shall have the right to verify at its sole discretion if the Projects are comprised of products and services based on Insurtech and/or related areas, and may deny or revoke any Registration Process at its sole discretion.
(iv) The Project shall not infringe the rights of third parties as furtherly indicated in these Terms and Conditions.
(v) The Project shall comply with these Terms and Conditions, the laws and/or regulations of the Republic of Argentine and the ones of the countries of the Projects.
Participants shall accept and abide the following considerations to remain as participants in the Competition even after having completed the Registration Process:
(i) Participants shall remain interested in the Competition and allow LAIF to further contact them as necessary.
(ii) In the event that any of the Participants, at LAIF discretion, does not comply with the Additional Requirements and/or these Terms and Conditions and/or applicable law, said Participant shall be immediately disqualified from the Competition. Additionally, any false declaration, fraud or false address or infringement to the rights of third parties shall result in the immediate disqualification of the Participant and, if applicable, his obligation to return any award received by said Participant in accordance to what is established in Stage Two and/or Stage Three and/or Stage Four, as defined below. Participants shall not act in any manner contrary to these Terms and Conditions.
(iii) Participants shall provide truthful and personally-owned information. In the event that this condition is not complied with, the non-complying Participant shall be immediately disqualified and excluded from the Competition.
(iv) LAIF reserves the right to automatically disqualify any Participant if he or she: (a) cheats, alters or invalidates the proper operation and normal development of the Competition in accordance with these Terms and Conditions and the Competition’s rules (hereinafter, the “Rules); (b) engages in improper practices to increase the Project’s profitability, such as the use of insider information, wrongful manipulation, among others; (c) infringes or fails to comply with these Terms and Conditions; (d) fails to comply with any type of regulation applicable to the Competition, as informed by LAIF from time to time; (e) violates, infringes or affects any type of rights of any third party; or (g) engages in any type of practice that may be considered contrary to the spirit of the Competition.
(v) LAIF shall have the power to resolve any disputes and conflicts that shall arise in the development and execution of the Competition, provided that said resolution is equitable and not in detriment of any of the Participants rights.
(vi) If any of the Winners and/or Final Winners, as defined below, as the case may be, does not accept their award/s in any of the forms established in these Terms and Conditions, LAIF reserves the right to (i) declare the condition of Winner and/or Final Winner to be null and void and, consequently, refrain from awarding the Participant with the corresponding award or declare said award or Recognition, as defined below, to be null and void; and/or (ii) appoint another Winner and of Final Winner, as the case may be.
Limitations for participating in the Competition.
The following individuals and entities shall be excluded from participating in the Competition:
- Employees, managers, directors and/or shareholders of LAIF;
- Employees, directors and/or managers of LAIF´s investors or any legal entities in which said involved parties are executives or directors;
- Employees, managers, directors and/or shareholders of ITC;
- Members of the Evaluation Committee, as defined below, or any legal entities in which said involved parties are shareholders, executives or directors;
- Natural persons or companies partaking part in the organization of the Competition.
Modality of the Competition.
Once registered in the Competition, in accordance with these Terms and Conditions, Participants shall be entitled to advance through the following stages, provided they meet the Additional Requirements established herein:
- First Stage- Receipt of Applications.
During the First Stage, LAIF shall analyze the information provided by the Participants during the Registration Process, together with the Additional Requirements in order to select the Projects that comply with the requirements set forth in these Terms and Conditions. LAIF reserves the right to dismiss any Project at its sole discretion. The Projects selected by LAIF during this First Stage shall proceed onto the Second Stage.
- Second Stage- Project Evaluation.
During this Second Stage, an evaluation committee comprised of LAIF’s managers and the conference representatives of ITC (the “Evaluation Committee”) shall analyze all Projects that passed onto this stage from the First Stage. At the end of this Second Stage, the Evaluation Committee shall select 4 (four) Projects that shall proceed onto the Third Stage (the “Winners”).
For the selection of the Winners, the Evaluation Committee shall specially consider the following in order to select this stage’s Winners:
(i) The Project’s transformation capacity in its field and its potential for economic and geographical growth;
(ii) The viability and profitability of the Project’s business plan; and
(iii) The Project’s scalability; among others.
On September 8th, 2020, LAIF shall announce the Winners to all the Participants via notification at their corresponding Registered Email. Said Winners shall be awarded with the possibility to promote their Project in the ITC + DIA World Tour, Latinamerica Stop (hereinafter, the “Award”).
- Third Stage- ITC + DIA World Tour Latinamerica Stop
During this Third Stage, Winners shall attend the final event, which shall take place in the Latinamerica Stop of the ITC + DIA World Tour on the date announced by LAIF via notification through the Website (hereinafter, the “Final Event”).
Winners shall be evaluated in the Final Event by a committee designated by LAIF and ITC’s representatives (hereinafter, the “Final Committee”), which shall select one of the Winners as the final winner of the Competition (hereinafter, the “Final Winner”). Said selection shall proceed as follows:
Winners shall be granted a total amount of five (5) minutes each to present their respective Projects to all the attendees of the ITC + DIA World Tour Latinamerica Stop and to the Final Committee who shall thus evaluate them. Regarding this final evaluation, the Final Committee shall evaluate the communicative capacity of the Winners, together with the quality of their presentations regarding the transmission and communication of the Project’s content. transmit and communicate the content of the Project shall be especially valued.
After the Winner’s final during the Final Event, the Final Committee shall have five (5) minutes to vote and define the Final Winner. The Final Winner will have the possibility to present his project in the ITC Global event in the date announced by LAIF via notification through the Website (hereinafter, the “Global Event”).
The completion of the Registration Process shall not be considered as generator of an exclusivity right in favor of the Participant with respect to its Project and its content; and LAIF and/or ITC shall be entitled to involve and/or be part of similar Projects to those presented by previously registered Participants without the need to inform other Participants of said circumstance.
The Participants’ registration of their Project shall not imply a waiver by LAIF and/or ITC of their right to proceed, in the future, with any kind of commercial transactions and/or investments with any company that may be considered as a competitor of any of the Participants.
All information provided by the Participants as a consequence of the Registration Process shall not be treated as confidential under any circumstance, provided however the Participants have not requested said information to be treated as such prior to its provision in accordance with these Terms and Conditions.
This Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Argentina. Any unresolved controversy or claim arising out of or relating to this Terms and Conditions shall be submitted to the National Commercial courts based in the Autonomous City of Buenos Aires, and the Participants agree to the exclusive jurisdiction of such courts.
 Participants may consult and review the present Terms and Conditions on the Website at any time during the Period of the Competition. LAIF reserves the right to unilaterally modify these Terms and Conditions and to further modify the Competition’s modality. Each modification introduced by LAIF to the Terms and Conditions shall be duly notified to the Participants via notification through the Website and at the corresponding Registered Email (as defined below). In case a Participant disagrees with the modifications introduced by LAIF to the Terms and Conditions, said Participant shall notify LAIF via e-mail to firstname.lastname@example.org further indicating its willingness to desist and withdraw from the Competition. If the Participant does not comply with these conditions, it shall be understood that said Participant accepts the amended Terms and Conditions.
 If any of the stages or events referred to in the “Modality of the Competition” cannot be held within the scheduled period or on the dates indicated, or need to be canceled temporarily for reasons beyond LAIF’s the control, they shall be held on the dates and in the periods considered appropriate by LAIF; and the Participants and/or Winners and/or Final Winners, as the case might be, shall be notified at their corresponding Registered Emails. Furthermore, these stages or events may also be canceled, in which case the Participants and/or Winners and/or Final Winners, as the case maybe, shall also be notified at their corresponding Registered Emails. The previously mentioned scenarios shall not allow any of the Participants and/or Winners and/or Final Winners to hold LAIF liable under any circumstances whatsoever.
 The Evaluation Committee and all of its members shall reserve the rights to vote at their own discretion and to do it in a fairly and impartial manner. In case it is unequivocally proven that a member of the Evaluation Committee voted in an unfairly and or partial manner, the vote of said member shall be considered null and void. LAIF reserves the right to substitute or modify the composition of the Evaluation Committee when, at its sole discretion, such substitution or modification results as necessary or appropriate for the Competition.
